3. REQUIREMENTS OF THE BVI OFFSHORE COMPANIES

The BVI offshore companies cannot own any real estate in the British Virgin Islands (BVI). Rendering services to BVI residents is prohibited. The company name shall not include words “Bank”, “Insurance Company”, “Trust”, or “Royal” but synonyms are allowed.

4. SHAREHOLDERS

At least one natural person or legal entity. No shares to bearer allowed. The Register of Shareholders shall be kept in the registered office in BVI.

5. DIRECTORS

      •    One director is required to incorporate a company. The director may be either a natural person or a legal entity. The Register of Directors shall be kept in the registered office in BVI.
      •    One person may be both the director and the shareholder.
      •    Nominal service may be used to ensure higher confidentiality.

6. REPORTING

The accounting of a BVI offshore company is required by law but submitting financial statements is not obligatory.

7. SHARES

      •    It is not necessary to pay the share capital.
      •    Shares may have or have not nominal value.

8. TERM OF REGISTRATION OF A BVI OFFSHORE COMPANY

Average period of time required to incorporate a BVI offshore company is 1 - 2 business days and 3 – 8 business days are required to notarise, apostillise and deliver the documents.

The registration of a BVI offshore company consists of the following steps:

      •    Check the name of the offshore company with the Registrar.
      •    Prepare the documents required for incorporation.
      •    Pay the taxes and duties.
      •    Register the company with the Registrar of the Companies.
      •    The documents will be notarised and apostillised if required.
      •    Deliver the documents to the client by a courier service.

The client receives the following documents:
      •    Certificate of Incorporation.
      •    Memorandum and Articles of Association.
      •    Appointment of the First Director.
      •    Minutes of the First Meeting.
      •    Share Certificates.
      •    Register of Directors.
      •    Register of Shareholders.
      •    Seal.
If the nominal service (full package) is used, then the set of documents also includes the apostillised Power of Attorney, the Declaration of Trust issued by the nominee shareholder, the Undated Nominee Director Resignation Letter, and signed but not filled Share Transfer Form. The basic package includes apostillised Certificate of Incorporation, Memorandum and Articles of Association, and Appointment of the First Director.
