1. GENERAL INFORMATION ABOUT PANAMA

The Republic of Panama is a country in the Central America on the Isthmus of Panama between the Caribbean Sea and the Pacific Ocean, to the West of Costa-Rica and to the East of Columbia. Became independent of Columbia in 1903.

Also it is prohibited to render services to Panama residents. There are some restrictions on the name of a Panama Company. E.g. the name shall not include the words "Trust", "Royal", "Insurance Company", or "Bank" but synonyms are allowed.

4. SHAREHOLDERS

At least one natural person or legal entity. As the Register of Shareholders is open, we recommend using the nominal service.

5. DIRECTORS

      •    Three directors are required. Usually three nominal directors are appointed as the Register of Directors is open.
      •    If the client wants to be a director, we will offer two directors more. If the client does not want to be a director, we will offer three nominal directors. In the latter case the client will receive a general power of attorney to manage the company.

6. REPORTING

Not required.

7. SHARES

      •    It is not necessary to pay the share capital. Standard amount of the authorized capital in Panama is USD 10,000.
      •    Shares may have or have not nominal value.
      •    Only one shareholder is required. The shareholder may be of any citizenship and either natural person or legal entity.
      •    Nominal service may be used to ensure confidentiality.

8. TERM OF REGISTRATION OF A PANAMA OFFSHORE COMPANY

THE REGISTRATION OF A PANAMA OFFSHORE COMPANY CONSISTS OF THE FOLLOWING STEPS:
      •    Check the name of the company and confirm availability.
      •    Prepare the documents.
      •    Pay the offshore company incorporation-related taxes.
      •    Register the company with the Registrar of the Companies.
      •    The documents will be notarised and apostillised if required.
      •    Deliver the documents to the client by a courier service.

THE CLIENT RECEIVES THE FOLLOWING DOCUMENTS:
      •    Certificate of Incorporation (Spanish original and English translation). Both documents apostillised.
      •    Articles of Incorporation (Spanish original and English translation). Both documents apostillised.
      •    Minutes of the First Meeting, apostillised.
      •    Share Certificate.
      •    Seal.
If the nominal service (full package) is used, then the set of documents also includes the apostillised Power of Attorney, the Declaration of Trust issued by the nominee shareholder, the Undated Nominee Director Resignation Letter, and signed but not filled Share Transfer Form.
